This page (together with the documents referred to on it) tells you the terms of use on which you may make use of the website www.canada-uk.org (the site), whether as a visitor or a user who has registered with us (Registered User). Please read these terms of use carefully before you start to and each time you use the site. By using it, and / or completing the registration process, you indicate that you accept these terms of use and that you agree to abide by them. If you do not agree to these terms of use, please refrain from using the site.

Please note that these terms and conditions may be updated, varied or amended vary from time to time by us uploading additional or amended clauses or a different set of terms.

INFORMATION ABOUT US

www.canada-uk.org is a website operated by the Canada – United Kingdom Chamber of Commerce (we, us, our, the Company or the Chamber). We are incorporated in England with company number 223529. Our registered office is at Canada House, Trafalgar Square, London SW1Y 5BJ.

We have notified as a data controller with the Information Commissioner’s Office in the United Kingdom.

The Company is incorporated and we make the site available to provide a service to users of the site in pursuit of the objectives of the Canada – United Kingdom Chamber of Commerce, a company registered in England with company number 223529. The Chamber’s Mission is to be the foremost non-governmental authority on all aspects of two-way trade and investment between Canada, the UK and Europe. The objectives include working for the interests of companies from both sides of the Atlantic, whether for exporters, importers, inward or outward investors.

ACCESSING THE SITE

Access to the site is permitted on a temporary basis, and we reserve the right to withdraw or amend the services we provide on the site without notice (see below). Neither we nor MBN UK nor MBN Malta will be liable if for any reason the site is unavailable at any time or for any period.

From time to time, we may restrict access to some parts of the site, or the entire site, to Registered Users.

If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any third party. We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our opinion you have failed to comply with any of the provisions of these terms of use.

When using the site, you must comply with the provisions of our Acceptable Use Policy.

CODE OF CONDUCT

From time to time we may (but are not obliged to) offer functionality on the site that allows Registered Users to upload content, materials and information and to comment on content, materials and information uploaded by us or by other users of the site, to blog or microblog and to create communities of other Registered Users. This functionality may be or become available from the pages, blogs, bookmarks, wire, files and community pages of the site (Interactive services).

You are responsible for anything which you post, upload, transmit or receive to, from or via the site whether that be content, materials or information (Content), or comment, opinion or other statement (Comment). You must be circumspect and sensible about what Content you upload and what Comment you make on the site and at all times comply with our Acceptable Use Policy.

We do not necessarily moderate, monitor, vet, oversee or control the Content or Comment that is posted or uploaded to, from or via the site by our Registered Users or other visitors to it. Accordingly we do not guarantee the accuracy, integrity or quality of any Content or Comment on the site or that it will not be objectionable to you or that it will comply with our acceptable use policy. If you become aware of any Content or Comment that breaches our Acceptable Use Policy please notify us in accordance with the last paragraph of these terms of use.

You are not permitted to post, upload, transmit or receive to, from or via the site anything which you do not have a clear right to use. You must ensure that you do not post, upload, transmit or receive to the site any Content containing software viruses or files designed to damage or disrupt the good working order of any computer or telecommunications equipment.

You understand and agree that neither we, nor any of our respective officers or members necessarily agree with the nature of Content uploaded to the site or share the views expressed within any Comment uploaded to or present on it.

You are not permitted to do anything which may disrupt in any way the operation of the site or its services, nor are you permitted to do anything which would disrupt the use and enjoyment of the site and our services by any other visitor to or Registered User of the site.

We are entitled at our discretion but are not obliged to refuse or remove anything which is posted, uploaded, transmitted to, from or via the site which, in our opinion, is objectionable or otherwise does not comply with these terms of use or our acceptable use policy and shall not be liable for doing so.

We may record preserve and disclose anything which has been posted, uploaded, transmitted to, from or via the site, where required by law or where we are acting in good faith.

You are responsible for making all arrangements necessary for you to have access to the site. You are also responsible for ensuring that all persons who access the site through your internet connection are aware of and comply with these terms.

INTELLECTUAL PROPERTY RIGHTS

We are the owner or the licensee of all intellectual property rights in the site, and in the material published on it by us or on our behalf. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

You may print off one copy, and may download extracts, of any page(s) from the site for your personal reference and you may draw the attention of others within your organisation to material posted on the site.

You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.

Our status (and that of any identified contributors) as the authors of material on the site must always be acknowledged.

You must not use any part of the materials on the site for commercial purposes without obtaining a licence to do so from us or our licensors.

If you print off, copy or download any part of the site in breach of these terms of use, your right to use the site will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

You warrant that you have a clear right to use any Content that you upload to the site and to make any Comment that you post on the site and that such Content and Comment is accurate, lawful and does not violate any laws or the intellectual property rights of any third party.

RELIANCE ON INFORMATION POSTED

Comment and other materials posted or uploaded to the site are not intended to amount to advice on which reliance should be placed. We disclaim for us and our officers and members, all liability and responsibility arising from any reliance placed on such materials by any visitor to or Registered User of the site, or by anyone who may be informed of any of its contents. Neither we nor any of our officers and members shall be liable or responsible for anything which has been posted, uploaded, transmitted or received to, from or via the site, or ought to have been posted, uploaded, transmitted or received but was not.

THE SITE CHANGES REGULARLY

The site and the material on it changes regularly and any such material may be out of date at any given time. Neither we nor our officers and members are under any obligation to monitor the accuracy of the Content or Comment on the site nor to update such material. If we consider it necessary, we may suspend access to the site, or close it indefinitely.

We may update, vary or amend these terms of use from time to time at any time by updating this web page. You agree that neither we nor any of our officers and members are under any obligation to notify you of any such changes so you should check this web page each time you visit the site.

 OUR LIABILITY

The material displayed on the site is provided without any guarantees, conditions or warranties as to its accuracy. To the maximum extent permitted by law, we expressly exclude for us and our officers and members and all third parties connected to us:

  • All conditions, warranties and other terms which might otherwise be implied by statute, common law or the law of equity.
  • Any liability for any direct, indirect or consequential loss or damage incurred by any person or organisation in connection with the site or in connection with the use, inability to use, or results of the use of the site, any websites linked to it and any materials posted on it, including but not limited to:

-loss of profits or contracts,

-loss of anticipated savings,

-loss of data,

-loss of goodwill,

-wasted management or office time, and

 whether caused by tort (including but not limited to negligence), breach of contract or otherwise, even if foreseeable, provided that this condition shall not prevent claims for loss of or damage to your tangible property or any other claims for direct financial loss that are not excluded by any of the categories set out above.

This does not affect liability for death or personal injury arising from negligence, nor liability for fraudulent misrepresentation or misrepresentation as to a fundamental matter, nor any other liability which cannot be excluded or limited under applicable law.

 INFORMATION ABOUT YOU AND YOUR VISITS TO THE SITE

We process information about you in accordance with our privacy policy. By using the site, you consent to such processing and you warrant that all data provided by you is accurate.

TRANSACTIONS CONCLUDED THROUGH OUR SITE

Contracts for the supply of goods and services formed through the site or as a result if visits made by you are governed by our Terms and Conditions (www.canada-uk.org/terms).

UPLOADING MATERIAL TO THE SITE

If you use any Interactive Services from time to time available on the site you do so at your own risk.

By posting, uploading, transmitting or receiving Content and by posting any Comment you represent and warrant that you have obtained all necessary licences, consents and permissions to do so and for such material to be published, cached, copied or stored on the site or elsewhere for the duration that it is published for and for as long as it may be cached, copied or stored by us or by other persons who have accessed or obtained the materials from or as a result of using the site.

You must indemnify us, and our officers and members on demand against all costs, claims, damages, losses and expenses arising out of or as a result of any claim or action or any threatened claim or action that any Content or Comment that has emanated from you infringes any intellectual property or other rights belonging to any third party or any obligation or duty that you may owe to any third party (including without limitation, contractual obligations or duties of confidence).

You are under an ongoing duty to immediately notify us if you become aware or suspect that any Content or Comment that you have ever uploaded, posted, transmitted or received to, from or via the site is or may become the subject of any claim or action and you must make no admissions or settlements in relation to such claim or action without our prior written consent. If we or any of our officers and members become the subject of any actual or threatened claim or action in relation to any material that you have uploaded, posted transmitted or received to the site you must provide us with all information and assistance that may reasonably be requested from you and, at our discretion, allow us complete control over any negotiations, litigation and the settlement of any such claim or action.

Whenever you make use of any Interactive Service or other feature that allows you to post, upload, transmit or receive material to the site, or to make contact with other users of the site, you must strictly comply with the content standards set out in these terms of use and our acceptable use policy. You warrant that any such contribution does comply with those standards, and you indemnify us for any breach of that warranty.

Any Content or Comment that you upload, post, transmit or receive to the site will be considered non-confidential and non-proprietary, and we have the right to use, copy, distribute and disclose to third parties any such material for any purpose and at any time. We and our officers and members also have the right to disclose your identity to any third party who is claiming that any material uploaded, posted, transmitted or received by you to the site constitutes a violation of their intellectual property rights, or of their right to privacy.

Neither we nor any of our officers or members will be responsible, or liable to you or to any third party, for the content or accuracy of any materials posted on or accessible via the site.

We have the right to remove any material on the site (whether uploaded, posted or transmitted by you or any third party) if, in our opinion, such material does not comply with the content standards set out in these terms of use and our acceptable use policy.

You grant us, the Canada-United Kingdom Chamber of Commerce, a non-exclusive, irrevocable, perpetual, royalty-free, worldwide licence to publish, use, copy, store, produce derivative works of or from, and to commercially exploit any Content that you upload to or Comment that you post on the site.

SOCIAL MEDIA

This policy deals with the use of our social media sites which includes Facebook, LinkedIn, Twitter (‘Public Forum’). Our Public Forum is open for members of the Chamber and other users who have an interest in trade between the two regions of Canada and the United Kingdom and vice versa.

By signing up to the Public Forums from 13 April 2015 onwards members will automatically accept to receive the Chamber newsletter and event updates. Members can unsubscribe at any time by following the instructions in the messages they receive. Unsubscribing from the Public Forums will not automatically unsubscribe members from the mailing list.

We do not accept any soliciting of products or services to fellow group members. This will result in immediate removal from the group.

The views expressed on the Public Forums are expressly those of the individuals who post such views, and not of the Chamber.

Users of these Public Forums are expressly prohibited from transmitting information that violates the intellectual property rights of any third party, and from posting comments that are slanderous, obscene, libellous, threatening, abusive or otherwise in violation of the law.

The Chamber may, but is not obligated to monitor the areas of the Public Forums where users may post such information. The Chamber will have no liability related to the content of such postings, including, but not limited to, liability for copyright, trade secret, patent or other intellectual property infringement, libel, privacy and obscenity.

The Chamber retains the right to remove at all times any messages that it deems, at its sole discretion, to be obscene, defamatory, abusive, or otherwise unacceptable or in violation of the policies set forth herein.

VIRUSES, HACKING AND OTHER OFFENCES

You must not misuse the site by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to the site, the server on which the site is stored or any server, computer or database connected to the site. You must not attack the site via a denial-of-service attack or a distributed denial-of service attack.

By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We may report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use the site will cease immediately.

Neither we nor any of our respective officers and members will be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of the site or to your downloading of any material posted on it, or on any website linked to it.

LINKING TO THE SITE

With our agreement (which is subject to the terms of any linking agreement we may ask you to sign) you may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part or on the part of the Chamber where none exists. Where we have allowed you permission to link to the site we may revoke that permission at any time and for any reason and you must immediately remove such link.

You must not establish a link from any website that is not owned by you.

The site must not be framed or mirrored on any other site, nor may you create a link to any part of the site other than the home page. We reserve the right to withdraw linking permission without notice. The website from which you are linking must comply in all respects with the content standards set out in these terms of use and our acceptable use policy.

JURISDICTION AND APPLICABLE LAW

The English courts will have exclusive jurisdiction over any claim arising from, or related to, a visit to the site although we retain the right to bring proceedings against you for breach of these conditions in your country of residence or any other relevant country.

These terms of use and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.

Pursuant to the Contracts (Rights of Third Parties) Act 1999, the Chamber and our officers and members shall be entitled to enforce those provisions of these terms of use which purport to confer a right or benefit upon them.

We reserve all rights to the trade mark and trading names and styles, “Canada - United Kingdom Chamber of Commerce”, “Canada - UK Chamber of Commerce ”.

VARIATIONS

We may revise these terms of use at any time by amending this page. You are expected to check this page each time you visit the site to take notice of any changes we made, as they are binding on you. Some of the provisions contained in these terms of use may also be superseded by provisions or notices published elsewhere on the site.
